Important Information to Unitholders regarding
Link REIT’s 1-for-5 Rights Issue

Link REIT is undertaking a 1-for-5 Rights Issue to raise approximately HK$18.8 billion (before expenses) at a Subscription Price of HK$44.2 per Rights Unit.

About the Proposed Rights Issue

Gross Proceeds Approximately HK$18.8 billion (before expenses)
Rights Ratio One (1) Rights Unit for every Five (5) Units held
Subscription Price HK$44.2 per Rights Unit

 

Please see below a brief summary of the options(1) that are available to the Qualifying Unitholders under the Rights Issue subject to the terms in the Offering Documents:

Option 1
Subscribe for some or all of the Rights Units that Qualifying Unitholders are entitled to


Qualifying Unitholders may choose to subscribe for some or all the Rights Units they are entitled to under the Rights Issue at the Subscription Price of HK$44.2 per Rights Unit.

Option 2
Sell / transfer some or all of the entitlement to subscribe for Rights Units


If Qualifying Unitholders choose to sell or transfer some or all of their Nil Paid Rights, which represent their entitlement to subscribe for Rights Units, the price they will receive will depend on the market price of the Nil Paid Rights at the time they sell during the trading period (if they choose to sell them on the Stock Exchange) or their transfer price (if they choose to transfer them off-market).

Option 3
Do nothing (in respect of some or all of the entitlement to subscribe for Rights Units)


If Qualifying Unitholders do nothing and let some or all of their Nil Paid Rights, which represent their entitlement to subscribe for Rights Units, lapse, the proportion of the total number of Units that they will hold after the Rights Issue will become lower and they will not be compensated.

Option 4
Apply for Rights Units in addition to those the Qualifying Unitholders are entitled to


Qualifying Unitholders will have the right to apply for any Rights Units that are not taken up. The Subscription Price of such Rights Units will also be HK$44.2 per Rights Unit.

 

Expected Timetable(2)

9-16 March 2023 Dealing in Nil Paid Rights
4:30pm on 13 March 2023 Latest time for splitting of the PAL
4:00pm on 21 March 2023 Latest time for acceptance and payment for the Rights Units and for application and payment for excess Rights Units
28 March 2023 Announcement of the results of the Rights Issue to be posted on the Stock Exchange's and the Link REIT's websites
29 March 2023 Despatch of refund cheques, if any, for wholly and partially unsuccessful excess applications or if the Rights Issue is terminated
29 March 2023 Despatch of Unit certificates of fully-paid Rights Units
9:00am on 30 March 2023 Dealing in Rights Units in fully-paid form commences

 

Notes:

Capitalised terms have the same respective meanings as those in the offering documents published by Link Asset Management Limited in its capacity as manager of Link REIT dated 7 March 2023 (the "Offering Documents")

Any changes to the expected timetable will be published or notified to the Unitholders and the Stock Exchange as and when appropriate.

 

If Qualifying Unitholders are in any doubt about any matters referred to herein, they should obtain their own professional advice. On procedural questions, existing Unitholders may call Link REIT’s enquiry phone number at (852) 2254-8838, which operates until 21 March 2023 (Monday to Saturday, 9:00am - 9:00pm).

The enquiry line operators will provide general information regarding the available choices under the Rights Issue and the procedural requirements. Please note they do not provide any advice on the merits of the Rights Issue nor give any financial, tax, investment, or legal advice. Qualifying Unitholders should seek advice from their own advisors as they consider appropriate.
